1. Introduction

Welcome to LeadDeus.io ("Platform", "Service", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of LeadDeus.io, an email outreach platform provided as a technical service.

By accessing or using our Platform, you ("User", "you", or "your") agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Service.

2. Service Description

LeadDeus.io is a technical email platform that acts as a Data Processor under GDPR. We provide:

  • Email campaign management and sending infrastructure
  • Integration with Gmail accounts via OAuth 2.0
  • AI-powered email content generation tools
  • Analytics and tracking capabilities
  • Lead database management

Important: We are a technical platform only. You, as the User, are the Data Controller and are solely responsible for:

  • Ensuring all email recipients have provided valid consent (opt-in)
  • Compliance with all applicable laws (GDPR, CAN-SPAM, CASL, etc.)
  • The content of emails sent through our Platform
  • Managing unsubscribe requests and data subject rights

3. User Responsibilities

3.1 Legal Compliance

You agree to:

  • Only send emails to recipients who have explicitly consented to receive communications from you
  • Maintain documented proof of consent (double opt-in) for all contacts
  • Include a functional unsubscribe link in every email
  • Honor unsubscribe requests within 10 business days
  • Comply with GDPR, CAN-SPAM Act, CASL, and all applicable anti-spam laws
  • Not send spam, unsolicited commercial emails, or phishing attempts

3.2 Prohibited Activities

You must NOT use our Platform to:

  • Send emails without proper consent from recipients
  • Send fraudulent, deceptive, or misleading content
  • Distribute malware, viruses, or harmful content
  • Violate intellectual property rights
  • Engage in illegal activities or promote illegal products/services
  • Harvest or scrape email addresses without authorization
  • Use purchased, rented, or third-party email lists without verified consent

3.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Using strong passwords and enabling two-factor authentication

4. Gmail Account Integration

When you connect Gmail accounts to our Platform:

  • We use OAuth 2.0 for secure authentication
  • We only request necessary permissions (read, send, modify)
  • You grant us permission to send emails on your behalf
  • You remain the owner of your Gmail account
  • You can revoke access at any time via Google Account settings
  • We do not store your Gmail password

Google OAuth Verification: Our Platform has been verified by Google and complies with Google API Services User Data Policy.

5. Data Processing

LeadDeus.io acts as a Data Processor under GDPR:

  • You (the User) are the Data Controller
  • We process personal data only on your instructions
  • We implement appropriate technical and organizational security measures
  • We do not use your data for our own purposes
  • We assist you in responding to data subject requests (access, deletion, portability)

6. Credits and Payments

6.1 Credit System

  • Our Platform uses a credit-based system for AI generation and other premium features
  • Credits are non-refundable once purchased
  • Credits do not expire unless your account is terminated
  • Pricing is available on our website and may change with 30 days' notice

6.2 Payment Terms

  • All payments are processed securely through third-party payment processors
  • You are responsible for all applicable taxes
  • Failed payments may result in service suspension
  • We do not store your credit card information

7. Service Limitations

7.1 Fair Use Policy

We enforce a Fair Use Policy to ensure service quality for all users. Excessive use may result in:

  • Rate limiting
  • Temporary suspension
  • Account termination (for severe abuse)

7.2 Service Availability

  • We strive for 99.5% uptime but do not guarantee uninterrupted service
  • Scheduled maintenance will be announced in advance
  • We are not liable for downtime caused by third parties (Google, ISPs, etc.)

8. Account Suspension and Termination

8.1 Suspension by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms
  • We receive complaints about spam or abuse
  • Your account is used for illegal activities
  • We are required to do so by law or court order
  • Your payment method fails repeatedly

8.2 Termination by You

  • You may terminate your account at any time via account settings
  • Upon termination, your data will be deleted within 30 days
  • Unused credits are non-refundable
  • You remain responsible for all activities before termination

9. Intellectual Property

9.1 Our IP

  • LeadDeus.io owns all rights to the Platform, code, design, and branding
  • You may not copy, modify, or reverse-engineer our Platform
  • Our trademarks may not be used without written permission

9.2 Your Content

  • You retain all rights to your content (emails, leads, etc.)
  • You grant us a limited license to process your content to provide the Service
  • We do not claim ownership of your data

10. Disclaimers and Limitation of Liability

10.1 Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not guarantee:

  • Email deliverability rates
  • That emails will not be marked as spam
  • Specific results from using our Platform
  • Error-free or uninterrupted service

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are not liable for any indirect, incidental, or consequential damages
  • Our total liability is limited to the amount you paid in the last 12 months
  • We are not responsible for third-party actions (Google, ISPs, recipients)
  • You agree to indemnify us against claims arising from your use of the Service

11. Indemnification

You agree to indemnify, defend, and hold harmless LeadDeus.io and its affiliates from any claims, losses, or damages arising from:

  • Your violation of these Terms
  • Your violation of applicable laws (GDPR, CAN-SPAM, etc.)
  • Your email content or campaigns
  • Infringement of third-party rights
  • Spam complaints or legal actions by recipients

12. Modifications to Terms

  • We may update these Terms at any time
  • Material changes will be notified via email or Platform notification
  • Continued use after changes constitutes acceptance
  • If you disagree with changes, you must stop using the Service

13. Governing Law and Disputes

  • These Terms are governed by the laws of the European Union and Germany
  • Any disputes will be resolved through arbitration in Frankfurt, Germany
  • You agree to resolve disputes individually, not as part of a class action

14. Usage Policy

14.1 What You Need To Know

LeadDeus prohibits sending of any content that is illegal or content that is harmful, unwanted, inappropriate, objectionable, confirmed to be criminal misinformation, or otherwise poses a threat to the public, even if the content is permissible by law. This content is not allowed, regardless of user consent.

14.2 Prohibited Content Types

Examples of prohibited content include, but are not limited to:

  • Pornography or sexually explicit content
  • Statements about products claiming to prevent, treat, or cure health issues (e.g., illness or disease) that have not been approved by the applicable government authority or are not permitted under applicable law or regulation
  • Advertising for prescription medication that cannot legally be sold over-the-counter
  • Content that is fraudulent or that LeadDeus determines in good faith is intended to mislead a recipient (e.g., phishing emails, chain letters, pyramid schemes) or cause harm or damage (e.g., malware or viruses)
  • Hate speech, harassment, or content promoting violence or discrimination
  • Illegal goods or services

14.3 Prohibited Actions

You are prohibited from using the LeadDeus Services in the following ways:

  • Sending unsolicited or unwanted emails or messages in bulk (spam)
  • Sending emails or messages to addresses that you obtained from the Internet or social media or to generic email aliases (e.g., webmaster@domain.com or info@domain.com) without obtaining prior affirmative consent
  • Using third-party email addresses and domain names without proper consent or authorization from the third party
  • Using or embedding tracking technologies (e.g., tracking pixels or cookies) in emails sent to a recipient prior to obtaining consent from that recipient to the extent and in the manner required by applicable law or regulation
  • Using purchased or rented email lists or contact lists of recipients that have not affirmatively consented to receive communications from you
  • Using techniques or practices to evade mechanisms, filters (e.g., spam filters), and detection capabilities (e.g., anti-abuse or spam detection mechanisms) designed to identify unsolicited or unwanted messages, including, but not limited to:
    • Snowshoeing: sending spam messages across multiple domains or IP addresses to dilute reputation metrics and evade filters
    • Waterfalling: cycling the same illicitly obtained address list through a series of email service providers, cleaning out bounces and complaints each time, with the end goal being to send through a reputable provider
  • Disguising, falsifying, or manipulating the subject matter, header, or transmission path information of any email or message
  • Violating CAN-SPAM Act, GDPR, or other applicable anti-spam and data protection regulations

14.4 Deliverability and Service Performance Risks

Sending certain emails or messages may result in deliverability issues or negatively affect the performance of the LeadDeus Services or LeadDeus's business reputation, any one of which may constitute a violation of this Usage Policy, as determined by LeadDeus, on a case-by-case basis.

These include, but are not limited to, sending emails or messages that result in:

  • Complaints from third parties (e.g., complaints from inbox providers or law enforcement agencies)
  • An unreasonable number of complaints from recipients (e.g., complaints of spam or similar complaints)
  • Excessive block listings or listings that exceed a reasonable period of time to resolve

14.5 Age Gating

If you are sending emails or messages related to alcohol, firearms, gambling, tobacco, or cannabis, or other content intended for adults that is not prohibited under this Usage Policy, then you must verify that a recipient is at least of legal age to provide affirmative consent to receive such communications based on where that recipient is located.

Upon written request from LeadDeus, you will provide proof of the age gating mechanisms that are in place.

14.6 Enforcement

LeadDeus reserves the right to:

  • Suspend or terminate accounts that violate this Usage Policy
  • Remove or block content that violates this policy
  • Report illegal activities to appropriate authorities
  • Take any other action deemed necessary to protect our services and users

Violations of this policy may result in immediate account suspension without refund.
